Is the Shareholder Spring a Renaissance for Active Engagement?
From implementing progressive dividend policies to voting down astronomical pay packages, wealth — and thus power — is being re-focused and redistributed within corporations. The financial crisis has given birth to a so-called Shareholder Spring. More firms are separating the role of CEO and Chairman at the behest of investors and in turn establishing tangible counter-weights to executive power, for instance. As these standards of corporate governance are reexamined, institutional investors and shareholders must in turn carefully re-examine their own fiduciary responsibilities within a rapidly changing landscape.
On March 21, 2013, the 8th Annual Rights and Responsibilities of Institutional Investors will again be co-sponsored by Institutional Investor and Kessler Topaz Meltzer Check LLP. Michael Woodford, former president and CEO of the Olympus Corporation will deliver a keynote address, Corporate Governance in the Real World: What Does this Really Mean? The day-long meeting, hosted in Amsterdam, will bring together leading investment, legal, and compliance officers from European public pension, insurance fund and mutual fund companies. Through panels, workshops and case studies, participants will engage with industry peers and thought leaders on the question of shifting corporate governance structures and as such, their fiduciary duties and rights as active shareholders.
